1. ACCEPTANCE OF TERMS

Welcome to Olatus Systems Private Limited. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Olatus Systems Private Limited, a company registered under the laws of India, concerning your access to and use of our Services.

BY ACCESSING, BROWSING, REGISTERING FOR, OR USING ANY PORTION OF OUR SERVICES, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS IN FULL. If you do not agree to these Terms, or any portion thereof, you are expressly prohibited from using the Services and must discontinue access immediately.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email, in-app notification, or prominent notice on the Site at least 7 days prior to the effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

2. DEFINITIONS

For clarity and consistency throughout this Agreement:

"Business Day" Monday through Saturday, excluding public holidays observed in India.

3. ELIGIBILITY & ACCOUNT REGISTRATION

3.1 Age Requirements

  • You must be at least 18 years of age to register for an Account or use the Services independently.
  • Users aged 13–17 years may use the Services only with explicit parental/guardian consent and under direct supervision. The parent/guardian must register the Account and agree to these Terms on the minor's behalf.
  • We do not knowingly collect personal data from children under 13. If we become aware of such collection, we will delete the information promptly in accordance with applicable law.

3.2 Account Registration & Security

  • Registration requires accurate, current, and complete information. You agree to:
    • Provide truthful details during sign-up
    • Maintain and promptly update your Account information
    • Keep your password confidential and secure
    • Notify us immediately of any unauthorized access or security breach
  • You are solely responsible for all activities occurring under your Account.

3.3 Username & Profile Guidelines

  • Usernames must not:
    • Impersonate any person or entity
    • Contain offensive, obscene, or misleading language
    • Infringe third-party trademarks or rights
  • We reserve the right to suspend, reclaim, or modify usernames that violate these guidelines.

3.4 Account Termination

  • You may deactivate your Account at any time via Account Settings or by contacting support.
  • We reserve the right to suspend or terminate Accounts for violations of these Terms, illegal activity, fraud, or prolonged inactivity, with or without prior notice.

4. OUR SERVICES OVERVIEW

Olatus Systems Private Limited provides an integrated platform offering:

Availability of specific features may vary by region, Account type, or subscription level. We reserve the right to add, modify, or discontinue any Service component with reasonable notice.

5. ECOMMERCE & PRODUCT TERMS

5.1 Product Information & Accuracy

  • We strive to display accurate product descriptions, images, specifications, and pricing. However:
    • Colors, dimensions, or features may vary slightly due to monitor settings or manufacturing tolerances
    • Product availability is subject to real-time inventory; items may sell out after order placement
    • Pricing errors, typographical mistakes, or outdated information may occur and will be corrected promptly

5.2 Product Availability & Discontinuation

  • All products are subject to availability. We reserve the right to:
    • Limit quantities per order or customer
    • Discontinue any product at any time without notice
    • Substitute comparable items in case of stockouts (with customer consent where feasible)

5.3 Product Warranties

  • Manufacturer warranties, where applicable, are provided separately and governed by the manufacturer's terms.
  • Unless explicitly stated, products are sold "as is" without additional warranties beyond those required by Indian consumer law.

6. DIGITAL PRODUCTS & CONTENT LICENSING

6.1 License Grant

Upon successful purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download, install, and use Digital Products for personal, non-commercial use only
  • Access course materials, templates, or media files within your Account for the duration of your enrollment or membership
  • Make reasonable backup copies solely for archival purposes

6.2 Restrictions

You shall not:

  • Resell, redistribute, sublicense, or commercially exploit Digital Products
  • Reverse engineer, decompile, or attempt to extract source code from software products
  • Share login credentials or access links with third parties
  • Remove copyright notices, watermarks, or license identifiers

6.3 Access & Delivery

  • Digital Products are delivered electronically via email and/or Account dashboard immediately after payment confirmation.
  • Access to time-bound content (e.g., course enrollment, membership resources) expires per the terms of your purchase or subscription.
  • We do not guarantee perpetual access to Digital Products; content may be updated, archived, or retired with reasonable notice.

6.4 No Physical Media

Unless explicitly stated, Digital Products are delivered electronically only. No physical media, manuals, or support materials are included unless specified in the product description.

7. ONLINE COURSES & LMS TERMS

7.1 Enrollment & Access

  • Course enrollment is effective upon payment confirmation.
  • Access duration varies by course: lifetime access, fixed-term enrollment, or subscription-based. Details are specified at checkout.
  • Progress tracking, assessments, and certificates are managed through our LMS platform.

7.2 Course Completion & Certification

  • Certificates of completion are issued upon meeting defined criteria (e.g., quiz scores, assignment submission, attendance).
  • Certificates represent course completion only and do not constitute accredited qualifications unless explicitly stated.
  • Misrepresentation of certification status or unauthorized use of course credentials is prohibited.

7.3 Instructor Content & Updates

  • Course content is created by qualified instructors and reviewed for quality. However:
    • Content reflects the instructor's knowledge at the time of publication and may evolve
    • We reserve the right to update, supplement, or retire course materials to maintain relevance
    • Major content changes will be communicated to enrolled students

7.4 Student Conduct in LMS

  • Respectful engagement in course discussions, assignments, and peer interactions is required.
  • Plagiarism, cheating, or academic dishonesty may result in course dismissal, certificate revocation, or Account suspension.

8. MEMBERSHIPS & SUBSCRIPTIONS

8.1 Subscription Terms

  • Memberships are offered on a recurring basis (monthly/annual) with automatic renewal unless canceled.
  • Pricing, benefits, and billing cycles are disclosed at signup and in your Account dashboard.
  • You authorize us to charge your selected payment method automatically for renewal charges.

8.2 Free Trials & Promotional Offers

  • Free trials, if offered, convert to paid subscriptions automatically unless canceled before the trial ends.
  • Promotional pricing or bundled offers are valid for the specified term only; standard rates apply upon renewal.

8.3 Cancellation & Refunds

  • You may cancel auto-renewing subscriptions anytime via Account Settings or by contacting support.
  • Cancellation takes effect at the end of the current billing period; no partial refunds are provided for unused time, except as required by law.
  • Refund eligibility for memberships is governed by our Refund & Cancellation Policy.

8.4 Membership Benefits & Changes

  • Benefits may include: exclusive content, early access, community privileges, discounts, or live events.
  • We reserve the right to modify membership benefits, pricing, or structure with at least 30 days' notice. Continued use after changes constitutes acceptance.

9. COMMUNITY FEATURES: FORUM, BLOG & USER CONTRIBUTIONS

9.1 User Contributions License

By posting, uploading, or transmitting any content ("User Contributions") to our forum, blog comments, reviews, or community features, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to:

  • Host, display, reproduce, distribute, and modify your Contributions within the Services
  • Use your name, username, or profile information in connection with your Contributions (unless anonymized by you)
  • Archive, cache, or backup Contributions for operational and compliance purposes

You retain ownership of your original Contributions. This license enables us to operate and improve the Services.

9.2 Content Standards

User Contributions must not:

  • Violate applicable laws, including defamation, hate speech, copyright infringement, or privacy violations
  • Contain spam, scams, phishing attempts, or commercial solicitation without authorization
  • Harass, threaten, or discriminate against individuals or groups
  • Include malicious code, viruses, or content designed to disrupt Services functionality
  • Impersonate others or misrepresent affiliation with Olatus Systems Private Limited

9.3 Moderation & Enforcement

  • We employ automated tools and human moderators to review Contributions. However, we do not pre-screen all content.
  • We reserve the right to remove, edit, or restrict access to any Contribution that violates these Terms, at our sole discretion, with or without notice.
  • Repeated violations may result in Account suspension, content removal, or reporting to authorities.

9.4 Reviews & Ratings Guidelines

When posting product or course reviews:

  • Base feedback on firsthand experience
  • Avoid offensive language, personal attacks, or irrelevant content
  • Disclose any material connection to the reviewed product/entity (e.g., affiliate relationship)
  • Do not post fake reviews, incentivized feedback, or coordinate rating campaigns

Reviews reflect individual opinions and are not endorsed by Olatus Systems Private Limited. We are not liable for review content but reserve the right to remove non-compliant submissions.

10. PURCHASES, PAYMENT & BILLING

10.1 Accepted Payment Methods

We accept:

  • Credit/Debit Cards (Visa, Mastercard, American Express, Rupay)
  • UPI (Google Pay, PhonePe, Paytm, etc.)
  • Net Banking (major Indian banks)
  • Wallets (Paytm, Mobikwik, etc.)
  • Cash on Delivery (COD) for eligible physical products and pin codes
  • Other methods as displayed at checkout

10.2 Pricing, Taxes & Currency

  • All prices are in Indian Rupees (INR) unless otherwise stated.
  • Prices include applicable GST where required by law. Tax invoices are provided for all transactions.
  • We reserve the right to adjust pricing at any time; changes apply to new orders only.

10.3 Payment Authorization & Security

  • By placing an order, you authorize us to charge your selected payment method for the total amount, including product cost, shipping, and taxes.
  • We use PCI-DSS compliant payment processors. We do not store full credit card details on our servers.
  • For COD orders, payment is collected upon delivery; failed delivery attempts may incur restocking fees per our Shipping Policy.

10.4 Order Acceptance & Cancellation

  • Receipt of an order confirmation email does not constitute acceptance; we reserve the right to decline any order for reasons including:
    • Pricing or inventory errors
    • Suspected fraud or unauthorized use
    • Violation of purchase limits or Terms
  • If an order is canceled after payment, refunds will be processed per our Refund & Cancellation Policy.

11. REFUNDS, RETURNS & CANCELLATIONS

All refund, return, and cancellation requests are governed by our standalone Refund & Cancellation Policy, which is incorporated herein by reference.

Key principles include:

  • Physical products: 48-hour return window with unboxing video evidence for damages
  • Digital products/LMS/memberships: Limited refund eligibility within 7 days, subject to usage thresholds
  • Customized orders: Generally non-refundable post-production
  • Failed deliveries: Refunds subject to shipping and handling deductions

12. SHIPPING & DELIVERY

All shipping, delivery, and logistics terms are governed by our standalone Shipping Policy, incorporated herein by reference.

Key provisions include:

  • Processing time: 1–2 business days for domestic orders
  • Delivery estimates: Vary by location and shipping tier (Express/Standard/Economy)
  • Tracking: Provided via email and Account dashboard post-dispatch
  • Failed deliveries: Customer responsibilities and refund deductions outlined

International shipping is not currently available.

13. INTELLECTUAL PROPERTY RIGHTS

13.1 Our Intellectual Property

All intellectual property in the Services—including software, designs, Content, trademarks, logos, course materials, and proprietary systems ("Company IP")—is owned by or licensed to Olatus Systems Private Limited and protected under:

  • The Copyright Act, 1957 (India)
  • The Trade Marks Act, 1999 (India)
  • The Information Technology Act, 2000 (India)
  • Applicable international treaties

13.2 Limited License to Users

Subject to compliance with these Terms, we grant you a personal, non-commercial, revocable license to:

  • Access and use the Services for their intended purpose
  • View, download, or print Content for personal reference (where functionality permits)

13.3 Prohibited Uses

You shall not:

  • Copy, reproduce, distribute, or create derivative works from Company IP without express written permission
  • Scrape, crawl, or systematically extract data from the Services
  • Use our trademarks, logos, or brand elements in a manner likely to cause confusion or imply endorsement
  • Reverse engineer, decompile, or attempt to derive source code from our software or platforms

13.4 User-Generated Content Ownership

  • You retain ownership of original User Contributions.
  • By submitting Contributions, you represent that you have all necessary rights and licenses to grant the license in Section 9.1.
  • We do not claim ownership of your Contributions but require the license above to operate the Services.

13.5 Copyright Infringement Reporting (DMCA-Style Notice)

If you believe Content on our Services infringes your copyright, please submit a written notice to our Designated Agent:

We will respond to valid notices in accordance with the Information Technology Act, 2000 and applicable guidelines.

14. USER REPRESENTATIONS & OBLIGATIONS

By using the Services, you represent and warrant that:

✅ You have the legal capacity to enter into this Agreement (or have parental consent if a minor)
✅ All registration and purchase information you provide is true, accurate, and current
✅ You will comply with these Terms, applicable laws, and third-party platform rules (e.g., app stores)
✅ You will not use automated tools (bots, scrapers, scripts) to access or interact with the Services without authorization
✅ Your use of the Services will not violate any law, infringe third-party rights, or harm the Services' functionality
✅ You will maintain the confidentiality of your Account credentials and notify us of any security breach

Breach of these representations may result in Account suspension, termination, or legal action.

15. PROHIBITED ACTIVITIES

You agree NOT to:

🚫 Unauthorized Access & Security Violations

  • Circumvent authentication, security measures, or usage restrictions
  • Attempt to gain unauthorized access to Accounts, servers, or networks
  • Use another user's Account without permission

🚫 Fraud, Misrepresentation & Abuse

  • Engage in phishing, scams, fake reviews, or fraudulent transactions
  • Misrepresent affiliation with Olatus Systems Private Limited, instructors, or partners
  • Submit false reports of abuse or misconduct

🚫 Content & Intellectual Property Violations

  • Upload content that infringes copyright, trademark, privacy, or publicity rights
  • Distribute malware, viruses, or code designed to disrupt Services
  • Remove copyright notices, watermarks, or license identifiers from Content

🚫 Automated & Commercial Misuse

  • Use bots, scrapers, or automated tools to harvest data or interact with the Services
  • Resell access, accounts, or digital products without authorization
  • Use the Services for unauthorized commercial solicitation or spam

🚫 Harmful Conduct & Harassment

  • Harass, threaten, defame, or discriminate against users, staff, or instructors
  • Post obscene, hateful, violent, or illegal content
  • Interfere with others' use and enjoyment of the Services

🚫 System Integrity & Reverse Engineering

  • Disrupt, overload, or impair the Services' infrastructure
  • Reverse engineer, decompile, or attempt to extract source code
  • Exploit vulnerabilities or engage in unauthorized penetration testing

Violations may result in immediate Account termination, Content removal, and/or legal action.

16. CONTENT MODERATION & TAKEDOWN PROCEDURES

16.1 Our Right to Moderate

While we encourage open community engagement, we reserve the right to:

  • Pre-screen, review, filter, or remove any User Contribution at our discretion
  • Suspend or terminate Accounts for repeated or severe violations
  • Cooperate with law enforcement in response to lawful requests or illegal activity

16.2 User Reporting Mechanism

If you encounter content that violates these Terms:

  1. Use the "Report" feature (where available) on the specific post/comment
  2. Email support@olelectronics.com with:
    • URL or location of the content
    • Description of the violation
    • Your contact information
  3. We will review reports within 3–5 Business Days and take appropriate action

16.3 Appeal Process

If your Content is removed or Account restricted:

  • You will receive notice of the action and reason (where feasible)

  • Appeals will be reviewed by a separate team member; decisions are final

17. PRIVACY & DATA PROTECTION

18.1 Third-Party Websites & Content

  • We do not endorse, control, or assume responsibility for Third-Party Services' content, privacy practices, or terms.
  • Accessing Third-Party Services is at your own risk; review their policies before providing personal data or making purchases.

18.2 Social Media & Account Linking

  • You may link your Account to third-party social platforms (e.g., Google, Facebook) for convenience.
  • By linking, you authorize us to access permitted profile information per the third party's API terms.
  • You may disconnect linked accounts anytime via Account Settings.

18.3 Advertising & Sponsored Content

  • We may display advertisements, sponsored content, or affiliate links within the Services.
  • Advertisers are solely responsible for their content and offers; we are not liable for claims arising from third-party promotions.
  • Affiliate disclosures are provided where required by law or platform policy.

18.4 Payment Processors & Logistics Partners

  • Transactions are processed by PCI-compliant third-party gateways (e.g., Razorpay, Stripe, PayPal).
  • Shipping is fulfilled by partnered courier agencies; their terms govern delivery performance.
  • We are not liable for errors, delays, or failures by third-party service providers beyond our reasonable control.

19. MOBILE APPLICATION LICENSE

19.1 License Grant

If you access the Services via our mobile App (available on Google Play Store and/or Apple App Store), we grant you a revocable, non-exclusive, non-transferable license to:

  • Install and use the App on devices you own or control
  • Access Services content and features in accordance with these Terms

19.2 Restrictions

You shall not:

  • Decompile, reverse engineer, or attempt to derive source code from the App
  • Modify, adapt, or create derivative works based on the App
  • Use the App for commercial resale, service bureau, or time-sharing purposes
  • Remove proprietary notices or bypass license validation mechanisms

19.3 App Store Terms Acknowledgment

You acknowledge that:

  • This Agreement is between you and Olatus Systems Private Limited, not the App Distributor (Google/Apple)
  • The App Distributor is not responsible for App maintenance, support, or warranty claims
  • In case of App failure, you may contact the App Distributor for refund processing per their policies, to the extent permitted by law
  • You comply with third-party terms (e.g., mobile carrier agreements) when using the App

19.4 App Updates & Compatibility

  • We may push updates to improve functionality, security, or compatibility.
  • Older App versions may cease to function; we encourage enabling auto-updates.
  • Minimum device/OS requirements are specified in the App Store listing.

20. SERVICE MODIFICATIONS, INTERRUPTIONS & TERMINATION

20.1 Right to Modify Services

We reserve the right to:

  • Add, modify, suspend, or discontinue any Service feature, content, or functionality at any time
  • Change pricing, membership structures, or course offerings with reasonable notice
  • Update these Terms to reflect operational, legal, or technological changes

20.2 Service Interruptions & Maintenance

  • The Services may experience downtime due to maintenance, upgrades, technical issues, or force majeure events.
  • We will endeavor to provide advance notice of scheduled maintenance but are not liable for unscheduled interruptions.
  • You agree that temporary unavailability does not entitle you to refunds or compensation, except as required by law.

20.3 Termination by You

  • You may stop using the Services anytime. To cancel subscriptions or delete your Account, follow instructions in Account Settings or contact support.
  • Upon termination, your right to access paid content ceases immediately; refunds are governed by our Refund & Cancellation Policy.

20.4 Termination by Us

We may suspend or terminate your Account or access to the Services, with or without notice, if:

  • You materially breach these Terms and fail to cure within 7 days of notice (where applicable)
  • Your use poses a security risk, legal liability, or operational burden
  • Required by law, regulation, or governmental request
  • We discontinue a Service component affecting your access

20.5 Effect of Termination

Upon termination:

  • Your license to access paid Content, courses, or memberships ends immediately
  • We may retain certain data as required by law, for fraud prevention, or to enforce this Agreement
  • Provisions that by their nature should survive (e.g., IP rights, disclaimers, liability limits, dispute resolution) remain in effect

21. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE CONSUMER PROTECTION ACT, 2019 (INDIA):

🔹 AS-IS BASIS: The Services, Content, and all products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

🔹 NO IMPLIED WARRANTIES: We expressly disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted/error-free operation.

🔹 CONTENT ACCURACY: We do not warrant that Content is accurate, complete, current, reliable, or suitable for your specific needs. Course materials reflect instructor expertise at publication time and may evolve.

🔹 THIRD-PARTY SERVICES: We make no representations regarding Third-Party Services, advertisers, or linked content. Your interactions with third parties are solely between you and them.

🔹 TECHNICAL PERFORMANCE: We do not guarantee that the Services will be secure, error-free, virus-free, or compatible with all devices/browsers.

Some jurisdictions do not allow exclusion of implied warranties; if you are such a user, the above exclusions may not apply to you. Statutory consumer rights under Indian law remain unaffected.

22. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

🔸 EXCLUSION OF CONSEQUENTIAL DAMAGES: In no event shall Olatus Systems Private Limited, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, arising from your use of the Services.

🔸 CAP ON DIRECT DAMAGES: Our total aggregate liability to you for any claim arising from or related to these Terms or the Services shall not exceed the amount actually paid by you to us in the six (6) months preceding the event giving rise to the claim.

🔸 ESSENTIAL BASIS: These limitations apply regardless of the legal theory (contract, tort, strict liability, etc.) and even if we have been advised of the possibility of such damages.

🔸 CONSUMER LAW SAVINGS: Nothing in this section limits liability for:

  • Death or personal injury resulting from our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under the Consumer Protection Act, 2019 or other mandatory Indian law

23. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Olatus Systems Private Limited, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

✅ Your breach of these Terms or violation of applicable law
✅ Your User Contributions or conduct in community features
✅ Your misuse of the Services or infringement of third-party rights
✅ Your violation of any representation or warranty herein

We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully in such defense.

24. ELECTRONIC COMMUNICATIONS & RECORDS

By using the Services, you consent to receive communications from us electronically, including:

  • Account notifications, order confirmations, policy updates
  • Service announcements, security alerts, marketing messages (where permitted)
  • Legal notices, invoices, and transaction records

24.2 Electronic Records Validity

You agree that:

  • Electronic records and signatures satisfy legal requirements for "writing" and "signature" under the Information Technology Act, 2000
  • We may retain electronic copies of agreements, transactions, and communications as authoritative records
  • You are responsible for maintaining access to the email address associated with your Account

24.3 Opt-Out of Marketing Communications

You may opt out of promotional emails anytime via:

Transactional and service-related communications (e.g., order updates, security alerts) cannot be opted out of while your Account is active.

25. GOVERNING LAW & DISPUTE RESOLUTION

25.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

25.2 Mandatory Pre-Dispute Negotiation

Before initiating formal proceedings, the Parties agree to attempt good-faith negotiation to resolve any dispute ("Dispute") arising from these Terms:

  • Written notice of the Dispute must be sent to the other Party via email or registered post
  • Parties shall engage in negotiations for at least 30 days from notice date
  • This step does not apply to claims for injunctive relief, IP enforcement, or urgent legal remedies

25.3 Arbitration (If Negotiation Fails)

If unresolved after negotiation, Disputes shall be finally settled by binding arbitration administered by the Indian Council of Arbitration (ICA) or Mumbai Centre for International Arbitration (MCIA), at the claimant's election:

  • Seat of Arbitration: Guwahati, Assam, India
  • Language: English
  • Number of Arbitrators: One (1), unless the claim exceeds INR 50,00,000, in which case three (3)
  • Procedure: As per the chosen institution's rules and the Arbitration and Conciliation Act, 1996 (India)
  • Award: Final, binding, and enforceable in any court of competent jurisdiction

Class actions, representative actions, or consolidated arbitrations are expressly waived to the fullest extent permitted by law.

25.4 Court Jurisdiction (Non-Arbitrable Claims)

For Disputes not subject to arbitration (e.g., IP infringement, injunctive relief), the courts in Guwahati, Assam, India shall have exclusive jurisdiction. You consent to personal jurisdiction and venue therein.

25.5 Small Claims Exception

Either Party may pursue individual claims in small claims court or consumer forum (e.g., District Consumer Disputes Redressal Commission) for disputes within its monetary jurisdiction, provided the claim is filed in the user's district of residence.

26. MISCELLANEOUS PROVISIONS

26.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any posted guidelines, constitute the entire agreement between you and Olatus Systems Private Limited regarding the Services and supersede all prior agreements or communications.

26.2 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving its original intent.

26.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless expressly acknowledged in writing. Waivers must be specific and in writing to be effective.

26.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets, provided the assignee agrees to honor these Terms.

26.5 Force Majeure

We shall not be liable for delays or failures in performance resulting from events beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, labor disputes, utility failures, or internet/network disruptions.

26.6 Notices

All formal notices shall be sent to:

  • To You: The email address associated with your Account, or postal address on file

Notices are deemed received: (a) immediately if sent by email with read receipt; (b) 3 Business Days after posting via registered post.

26.7 Headings & Interpretation

Section headings are for convenience only and do not affect interpretation. References to "including" mean "including without limitation." Singular includes plural and vice versa.

26.8 No Agency or Partnership

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Olatus Systems Private Limited.

26.9 Survival

Provisions that by their nature should survive termination—including IP rights, disclaimers, liability limits, indemnification, dispute resolution, and general provisions—shall remain in effect.
