5. ECOMMERCE & PRODUCT TERMS

7. ONLINE COURSES & LMS TERMS
7.1 Enrollment & Access
- Course enrollment is effective upon payment confirmation.
- Access duration varies by course: lifetime access, fixed-term enrollment, or subscription-based. Details are specified at checkout.
- Progress tracking, assessments, and certificates are managed through our LMS platform.
7.2 Course Completion & Certification

7.4 Student Conduct in LMS

- Plagiarism, cheating, or academic dishonesty may result in course dismissal, certificate revocation, or Account suspension.
8. MEMBERSHIPS & SUBSCRIPTIONS
8.1 Subscription Terms
- Memberships are offered on a recurring basis (monthly/annual) with automatic renewal unless canceled.
- Pricing, benefits, and billing cycles are disclosed at signup and in your Account dashboard.
- You authorize us to charge your selected payment method automatically for renewal charges.
8.2 Free Trials & Promotional Offers
- Free trials, if offered, convert to paid subscriptions automatically unless canceled before the trial ends.
- Promotional pricing or bundled offers are valid for the specified term only; standard rates apply upon renewal.
8.3 Cancellation & Refunds
- You may cancel auto-renewing subscriptions anytime via Account Settings or by contacting support.
- Cancellation takes effect at the end of the current billing period; no partial refunds are provided for unused time, except as required by law.
- Refund eligibility for memberships is governed by our Refund & Cancellation Policy.
8.4 Membership Benefits & Changes

You retain ownership of your original Contributions. This license enables us to operate and improve the Services.

User Contributions must not:

10. PURCHASES, PAYMENT & BILLING

15. PROHIBITED ACTIVITIES
You agree NOT to:

- Submit false reports of abuse or misconduct
🚫 Content & Intellectual Property Violations
- Upload content that infringes copyright, trademark, privacy, or publicity rights
- Distribute malware, viruses, or code designed to disrupt Services
- Remove copyright notices, watermarks, or license identifiers from Content
🚫 Automated & Commercial Misuse
- Use bots, scrapers, or automated tools to harvest data or interact with the Services
- Resell access, accounts, or digital products without authorization
- Use the Services for unauthorized commercial solicitation or spam
🚫 Harmful Conduct & Harassment
- Harass, threaten, defame, or discriminate against users, staff, or instructors

19.4 App Updates & Compatibility
- We may push updates to improve functionality, security, or compatibility.
- Older App versions may cease to function; we encourage enabling auto-updates.
- Minimum device/OS requirements are specified in the App Store listing.
20. SERVICE MODIFICATIONS, INTERRUPTIONS & TERMINATION
20.1 Right to Modify Services
We reserve the right to:
- Add, modify, suspend, or discontinue any Service feature, content, or functionality at any time
- Change pricing, membership structures, or course offerings with reasonable notice

- Upon termination, your right to access paid content ceases immediately; refunds are governed by our Refund & Cancellation Policy.
20.4 Termination by Us
We may suspend or terminate your Account or access to the Services, with or without notice, if:
- You materially breach these Terms and fail to cure within 7 days of notice (where applicable)
- Your use poses a security risk, legal liability, or operational burden
- Required by law, regulation, or governmental request
- We discontinue a Service component affecting your access
20.5 Effect of Termination

21. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE CONSUMER PROTECTION ACT, 2019 (INDIA):
🔹 AS-IS BASIS: The Services, Content, and all products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

🔹 CONTENT ACCURACY: We do not warrant that Content is accurate, complete, current, reliable, or suitable for your specific needs. Course materials reflect instructor expertise at publication time and may evolve.
🔹 THIRD-PARTY SERVICES: We make no representations regarding Third-Party Services, advertisers, or linked content. Your interactions with third parties are solely between you and them.
🔹 TECHNICAL PERFORMANCE: We do not guarantee that the Services will be secure, error-free, virus-free, or compatible with all devices/browsers.
Some jurisdictions do not allow exclusion of implied warranties; if you are such a user, the above exclusions may not apply to you. Statutory consumer rights under Indian law remain unaffected.
22. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
🔸 EXCLUSION OF CONSEQUENTIAL DAMAGES: In no event shall Olatus Systems Private Limited, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business opportunities, arising from your use of the Services.

- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under the Consumer Protection Act, 2019 or other mandatory Indian law
23. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Olatus Systems Private Limited, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
✅ Your breach of these Terms or violation of applicable law
✅ Your User Contributions or conduct in community features
✅ Your misuse of the Services or infringement of third-party rights
✅ Your violation of any representation or warranty herein
We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully in such defense.
24. ELECTRONIC COMMUNICATIONS & RECORDS
24.1 Consent to Electronic Communications
By using the Services, you consent to receive communications from us electronically, including:
- Account notifications, order confirmations, policy updates
- Service announcements, security alerts, marketing messages (where permitted)
- Legal notices, invoices, and transaction records
24.2 Electronic Records Validity
You agree that:
- Electronic records and signatures satisfy legal requirements for "writing" and "signature" under the Information Technology Act, 2000
- We may retain electronic copies of agreements, transactions, and communications as authoritative records
- You are responsible for maintaining access to the email address associated with your Account

25. GOVERNING LAW & DISPUTE RESOLUTION
25.1 Governing Law
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
25.2 Mandatory Pre-Dispute Negotiation
Before initiating formal proceedings, the Parties agree to attempt good-faith negotiation to resolve any dispute ("Dispute") arising from these Terms:
- Written notice of the Dispute must be sent to the other Party via email or registered post
- Parties shall engage in negotiations for at least 30 days from notice date
- This step does not apply to claims for injunctive relief, IP enforcement, or urgent legal remedies
25.3 Arbitration (If Negotiation Fails)
If unresolved after negotiation, Disputes shall be finally settled by binding arbitration administered by the Indian Council of Arbitration (ICA) or Mumbai Centre for International Arbitration (MCIA), at the claimant's election:
- Seat of Arbitration: Guwahati, Assam, India
- Language: English
- Number of Arbitrators: One (1), unless the claim exceeds INR 50,00,000, in which case three (3)
- Procedure: As per the chosen institution's rules and the Arbitration and Conciliation Act, 1996 (India)
- Award: Final, binding, and enforceable in any court of competent jurisdiction
Class actions, representative actions, or consolidated arbitrations are expressly waived to the fullest extent permitted by law.
25.4 Court Jurisdiction (Non-Arbitrable Claims)
For Disputes not subject to arbitration (e.g., IP infringement, injunctive relief), the courts in Guwahati, Assam, India shall have exclusive jurisdiction. You consent to personal jurisdiction and venue therein.
25.5 Small Claims Exception
Either Party may pursue individual claims in small claims court or consumer forum (e.g., District Consumer Disputes Redressal Commission) for disputes within its monetary jurisdiction, provided the claim is filed in the user's district of residence.
26. MISCELLANEOUS PROVISIONS
26.1 Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any posted guidelines, constitute the entire agreement between you and Olatus Systems Private Limited regarding the Services and supersede all prior agreements or communications.
26.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving its original intent.
26.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless expressly acknowledged in writing. Waivers must be specific and in writing to be effective.
26.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets, provided the assignee agrees to honor these Terms.
26.5 Force Majeure
We shall not be liable for delays or failures in performance resulting from events beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, labor disputes, utility failures, or internet/network disruptions.
26.6 Notices

Notices are deemed received: (a) immediately if sent by email with read receipt; (b) 3 Business Days after posting via registered post.
26.7 Headings & Interpretation
Section headings are for convenience only and do not affect interpretation. References to "including" mean "including without limitation." Singular includes plural and vice versa.
26.8 No Agency or Partnership
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Olatus Systems Private Limited.
26.9 Survival
Provisions that by their nature should survive termination—including IP rights, disclaimers, liability limits, indemnification, dispute resolution, and general provisions—shall remain in effect.
